Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using the Trading Journal Pro App, you acknowledge that you have read, understood, and agree to be bound by these Terms of Service and all applicable laws and regulations.

If you are using the App on behalf of an organisation, you represent and warrant that you have the authority to bind that organisation to these Terms, and the terms "you" and "your" shall refer to both you individually and that organisation.

Your continued use of the App following the posting of any changes to these Terms constitutes acceptance of those changes. We encourage you to review these Terms periodically.

2. Description of Service

Trading Journal Pro is a personal record-keeping and analysis tool designed to help traders log, organise, and review their trading activity. The App provides the following core functionality:

• Trade Journaling: Record and organise your trades, including entry/exit prices, position sizes, profit and loss, notes, and screenshots.
• Analytics and Statistics: View performance metrics, charts, and statistical analysis of your recorded trading data.
• AI-Powered Analysis: Optional AI features that provide informational analysis and pattern recognition based on your trading data.
• Account Management: Track multiple trading accounts with balance history and performance tracking.
• Strategy Tracking: Document and evaluate your trading strategies over time.

3. Eligibility

To use Trading Journal Pro, you must:

• Be at least 18 years of age or the age of legal majority in your jurisdiction, whichever is higher.
• Have the legal capacity to enter into a binding agreement under the laws of your jurisdiction.
• Not be prohibited from using the App under any applicable law or regulation.
• Not have been previously suspended or removed from the App for violation of these Terms.

By using the App, you represent and warrant that you meet all of the foregoing eligibility requirements. If you do not meet these requirements, you must not access or use the App.

4. Account Registration

To access certain features of the App, you must create an account. When creating an account:

• You must provide a valid email address and accurate registration information.
• You may register using your email and password or through a supported third-party sign-in provider (such as Google Sign-In).
• You are solely responsible for maintaining the confidentiality of your login credentials (email, password, and any third-party authentication tokens).
• You are responsible for all activity that occurs under your account, whether or not you authorised that activity.
• You must notify us immediately at Support@insight-flowai.com if you become aware of any unauthorised use of your account or any other breach of security.

We reserve the right to suspend or terminate your account if any information provided during registration proves to be inaccurate, false, outdated, or incomplete.

5. User Responsibilities

When using Trading Journal Pro, you agree to:

5.1 Accurate Data Entry

You are solely responsible for the accuracy and completeness of the trading data, notes, and other information you enter into the App. We do not verify the accuracy of user-entered data.

5.2 Lawful Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You must not use the App:

• In any way that violates any applicable local, national, or international law or regulation.
• To transmit or procure the sending of any unsolicited or unauthorised advertising or promotional material.
• To knowingly introduce viruses, trojans, worms, logic bombs, or other material that is malicious or technologically harmful.
• To attempt to gain unauthorised access to the App, the servers on which the App is hosted, or any server, computer, or database connected to the App.

5.3 Prohibited Conduct

You must not:

• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
• Modify, adapt, translate, or create derivative works based on the App.
• Remove, alter, or obscure any proprietary notices, labels, or marks on the App.
• Use the App to develop a competing product or service.
• Use any automated system, including bots, scrapers, or crawlers, to access the App.
• Share your account credentials with any third party or allow multiple individuals to use a single account.
• Circumvent, disable, or otherwise interfere with any security-related features of the App, including features that prevent or restrict use or copying of content.

6. Subscription Terms

6.1 Subscription Tiers

Trading Journal Pro offers the following subscription tiers:

Prices are displayed in your local currency at the point of purchase through Google Play and may vary by region. The prices listed above are indicative and may be subject to change.

6.2 Billing and Auto-Renewal

Subscriptions are billed through Google Play Billing (or Apple App Store for iOS users). By subscribing, you agree to the following:

• Subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date.
• Your payment method will be charged at the start of each renewal period at the then-current subscription rate.
• You will receive a reminder notification before each renewal. Google Play may also send renewal notifications per their policies.
• Price changes will be communicated in advance and will take effect at the next renewal period. You may cancel before the new price takes effect.

6.3 Cancellation

You may cancel your subscription at any time through:

• Google Play Store: Open the Google Play app → Profile → Payments & subscriptions → Subscriptions → Trading Journal Pro → Cancel.
• Apple App Store: Open Settings → Apple ID → Subscriptions → Trading Journal Pro → Cancel.

Upon cancellation:

• You will retain access to your subscription features until the end of your current billing period.
• Your account will revert to the Free tier when the paid period expires.
• Your trading data will be preserved and accessible under the Free tier limitations.
• No partial refunds are given for unused portions of a billing period.

6.4 Refunds

Refund requests are handled in accordance with the policies of Google Play or the Apple App Store, as applicable. We do not process refunds directly. Please refer to:

6.5 Free Trial

We may, from time to time, offer free trial periods for paid subscription tiers. If you do not cancel before the end of the free trial, your subscription will automatically convert to a paid subscription and your payment method will be charged.

7. Intellectual Property

7.1 Our Intellectual Property

The App, including its design, source code, features, functionality, graphics, logos, icons, and all related intellectual property, is owned by Trading Journal Pro and is protected by copyright, trademark, and other intellectual property laws of the United Kingdom and international treaties.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the App for its intended purpose, subject to these Terms. This licence does not include any right to:

• Modify or create derivative works based on the App.
• Use the App for any commercial purpose other than personal trade journaling.
• Sublicence, lease, lend, or distribute the App to any third party.

7.2 Your Data

You retain full ownership of all trading data, notes, images, and other content you enter into the App ("Your Content"). By using the App, you grant us a limited licence to store, process, and display Your Content solely for the purpose of providing the Services to you.

We do not claim any ownership rights over Your Content. You may export or delete Your Content at any time using the App's built-in functionality.

8. AI Features Disclaimer

Trading Journal Pro includes optional AI-powered analysis features that use artificial intelligence to analyse your trading data and provide insights. By using these features, you acknowledge and agree to the following:

• AI analysis is provided for informational and educational purposes only. It does not constitute financial advice, investment advice, trading signals, or any form of regulated financial guidance.
• AI outputs may contain errors, inaccuracies, or omissions. Artificial intelligence models are not infallible, and their outputs should be treated as one of many inputs in your decision-making process.
• AI analysis is not personalised financial advice. The AI does not know your complete financial situation, risk tolerance, investment objectives, or personal circumstances.
• You must not rely solely on AI outputs for making trading or investment decisions. Always exercise your own independent judgement and consult a qualified financial professional.
• Past patterns identified by AI do not predict future results. Historical analysis does not guarantee future performance.
• We accept no liability for any decisions you make, or any losses you incur, based on or influenced by AI-generated analysis or suggestions.

9. Financial Disclaimer

9.1 No Financial Advice

Nothing in the App, including analytics, statistics, AI-generated insights, or any other feature, constitutes financial advice, investment advice, tax advice, or trading recommendations. All information presented by the App is based solely on data you have entered and is intended to help you reflect on and analyse your own trading activity.

9.2 Not a Regulated Financial Service

Trading Journal Pro is not regulated by the Financial Conduct Authority (FCA), the Securities and Exchange Commission (SEC), or any other financial regulatory authority in any jurisdiction. We are not a broker, investment advisor, portfolio manager, or financial planner. We do not hold any financial services licences.

9.3 No Fiduciary Relationship

Your use of the App does not create a fiduciary relationship, advisory relationship, or any other special relationship between you and Trading Journal Pro. We owe you no duty of care beyond providing the journaling and analysis tools described in these Terms.

9.4 Risk of Trading

Trading in financial markets involves substantial risk of loss and is not suitable for all investors. You may lose some or all of your invested capital. You should carefully consider whether trading is appropriate for you in light of your financial situation, experience, and risk tolerance. We accept no liability for any trading losses you may incur, regardless of whether you used the App in connection with your trading activity.

9.5 Past Performance

Past performance recorded in the App does not indicate, guarantee, or predict future results. Historical trading data and analysis are provided for your personal review and reflection only.

9.6 Independent Professional Advice

You should always seek independent professional advice from a qualified, regulated financial advisor before making any investment or trading decisions. The App is not a substitute for professional financial guidance.

10. Data and Privacy

Your privacy is important to us. Our collection, use, storage, and protection of your personal data is governed by our Privacy Policy, which forms an integral part of these Terms.

• We collect and process personal data in accordance with the UK GDPR and EU GDPR.
• Your trading data is stored securely using industry-standard encryption.
• We do not sell your personal data to third parties.
• You may access, export, correct, or delete your data at any time through the App.
• AI features only process your data with your explicit consent.

11. Account Termination and Deletion

11.1 Termination by You

You may delete your account at any time by navigating to Settings → Delete Account within the App. Upon account deletion:

• Your personal data and trading records will be permanently deleted within 30 days.
• Data retained in backups will be removed within 90 days.
• Certain records (such as consent records and billing records) may be retained for up to 7 years as required by law.
• Any active subscription must be cancelled separately through Google Play or the Apple App Store to prevent further charges.

11.2 Termination by Us

We reserve the right to suspend or terminate your account, without prior notice, if:

• You breach any provision of these Terms.
• You engage in fraudulent, abusive, or illegal activity.
• Your account poses a security risk to the App or other users.
• We are required to do so by law or a court order.
• We discontinue the App or the Services (in which case we will provide reasonable notice).

If we terminate your account for cause, you will not be entitled to a refund for any prepaid subscription fees. If we discontinue the Services, we will provide a pro-rata refund for any unused portion of your subscription.

11.3 Effect of Termination

Upon termination of your account for any reason:

• Your licence to use the App is immediately revoked.
• We may delete your data in accordance with our data retention policies as set out in our Privacy Policy.
• Sections of these Terms that by their nature should survive termination (including Sections 7, 8, 9, 12, 13, and 14) shall continue in full force and effect.

12. Limitation of Liability

12.1 Service Provided "As Is"

The App and the Services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the fullest extent permitted by law, we disclaim all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

12.2 No Guarantee of Availability

We do not guarantee that the App will be available at all times or that it will be uninterrupted, timely, secure, or free from errors. We may suspend, withdraw, or restrict the availability of the App at any time for operational, maintenance, or security reasons.

12.3 Trading Losses

Under no circumstances shall Trading Journal Pro, its developer, officers, employees, agents, or affiliates be liable for any trading losses, investment losses, or other financial losses you may incur, whether or not you used the App in connection with your trading activities. The App does not cause, influence, or direct your trading decisions.

12.4 Limitation

To the maximum extent permitted by applicable law, in no event shall our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the App exceed the total amount you have paid to us in subscription fees during the twelve (12) months immediately preceding the event giving rise to the claim, or £50, whichever is greater.

12.5 Exclusion of Consequential Damages

To the maximum extent permitted by applicable law, we shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or loss of business opportunity, regardless of the cause of action or the theory of liability, even if we have been advised of the possibility of such damages.

12.6 Statutory Rights

Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under applicable law. Your statutory rights as a consumer are not affected by these Terms.

13. Indemnification

You agree to indemnify, defend, and hold harmless Trading Journal Pro, its developer, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of or access to the App.
• Your violation of these Terms.
• Your violation of any applicable law or regulation.
• Your violation of any rights of a third party.
• Any content or data you submit, post, or transmit through the App.
• Any trading or investment decisions you make, whether or not informed by the App or its features.

This indemnification obligation shall survive the termination of your account and these Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to conflict of law principles.

Any dispute arising out of or in connection with these Terms, including any question regarding their existence, validity, or termination, shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If you are a consumer resident in the United Kingdom, you will benefit from any mandatory provisions of the law of your country of residence. Nothing in these Terms affects your rights as a consumer to rely on such mandatory provisions of local law.

If you are a consumer resident in the European Union, you may also be entitled to submit a dispute to the European Commission's Online Dispute Resolution platform at https://ec.europa.eu/consumers/odr.

15. Changes to Terms

We may update these Terms of Service from time to time. When we make changes:

• We will provide at least 30 days' advance notice of any material changes through an in-app notification.
• The updated version number and effective date will be clearly displayed at the top of this document.
• For material changes that affect your rights or obligations, we may require your explicit re-acceptance before you can continue using the App.
• If you do not agree to the updated Terms, you must stop using the App and may delete your account.

Your continued use of the App after the effective date of any updated Terms constitutes your acceptance of those updated Terms. We will retain previous versions of these Terms for your reference.
